
KIRI TERMS OF USE PROVIDER ADDENDUM
Welcome to joining Kiri. We are excited to have you join our Kiri community.
This Kiri Terms of Use Provider Addendum ("Addendum") incorporates and supplements Kiri's Terms of Use, which are available on the Kiri homepage ("Terms of Use"), as may be modified from time to time. This Addendum constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, statements, proposals, written or oral, between the Parties. This Addendum shall control in the event of inconsistency or conflict between the Addendum and the Terms of Use. All capitalized terms which are not otherwise defined herein are outlined in the Terms of Use.
Provider Qualifications
- You affirm and guarantee that you meet the criteria as a "Provider," signifying that upon approval, you either:
- Hold any applicable licensure or certifications required to offer salon or stylist services in your jurisdiction; or
- Have received acceptance from Kiri to provide services on its online platform ("Enrolled Provider").
- This platform serves as the medium through which individuals ("Kiri Customers") seek to avail themselves of your services on Kiri.com ("Platform").
- It is incumbent upon you to consistently adhere to these Terms of Use and comply with all pertinent laws and regulations governing your status as an Enrolled Provider while utilizing the Kiri Platform.
Provider Onboarding Process
- Providers interested in joining Kiri will:
- Apply to Kiri and provide basic information, including contact details, hours of operation, location, and service categories (e.g., salon, barber, nails, etc.).
- Upload required materials, which may include:
- Portfolio images or videos showcasing work (e.g., hairstyles, nail art);
- Service menu and associated pricing;
- Licenses or certifications, if applicable; and
- Business logo and banner images.
- Providers may opt to allow Kiri to assist in initial setup by providing access to their existing media (e.g., Instagram handle) for uploading. Providers agree to grant Kiri permission to use such media for setup purposes.
- Providers must specify appointment availability, including preferred times and services offered. Providers retain discretion over which services they provide and the pricing for each service.
Customer Interactions and Appointment Management
- Kiri Customers may book services through the Platform by selecting available appointments based on Providers' schedules.
- Appointment details, including service type, time, and pricing, will be sent to the Provider for approval. Providers agree to respond to appointment requests promptly.
- Providers may communicate directly with Customers through the Platform's messaging system to:
- Confirm details;
- Ask questions (e.g., client's service history); or
- Clarify expectations.
- Providers are responsible for ensuring accurate and professional communication with Customers and maintaining a high standard of service.
Media Uploads and Copyright
- Providers may upload media content, including images, videos, logos, and banners, to their profiles. Providers represent and warrant that they:
- Hold all necessary rights to any uploaded media; and
- Confirm that such media does not infringe on the rights of third parties.
- Kiri reserves the right to remove content that violates these terms.
- Providers acknowledge and agree that any media uploaded to the Platform may be used by Kiri for promotional purposes, subject to applicable privacy laws and permissions granted by Providers.
Fees and Payment
In exchange for satisfactorily completing an engagement, you will receive the agreed-upon service provider fee for that engagement. An engagement with a Kiri Customer is considered "complete" upon you marking your engagement as such in the Kiri Platform, confirming that you have properly finished the engagement and associated work, or if you notify the Kiri Customer through the Kiri Platform to review your work for completion and the Kiri Customer fails to respond to such request within 72 hours of such notice being sent to them through the Kiri Platform.
- First-Time Customer Commission: For each first-time Kiri customer that you service that was acquired through the Kiri platform, Kiri will collect a commission. This commission will be deducted from the total payment processed through our third-party payment provider. This applies only to the first appointment with a new client acquired through the Kiri platform.
- Payments and fees that apply to your use of the Kiri Platform shall be made through a third-party provider. Additionally, you may also be required to pay fees and charges to others in connection with your use of the Kiri Platform. For example, your mobile provider or Internet service provider may impose charges for use of your device in connection with the use of the Kiri Platform, including fees for data transmissions and/or other charges. It is your responsibility to understand and pay for all such charges.
Data Sharing and Privacy
- Providers acknowledge that they may access Kiri Customer data, including personal information such as:
- Name;
- Email;
- Phone number; and
- Service preferences.
- Providers agree to handle Customer data in accordance with:
- Applicable privacy laws; and
- Kiri's privacy policy.
- Providers will:
- Use Customer data solely for the intended purpose of delivering services;
- Securely store and handle any Customer data obtained through the Platform; and
- Not disclose or share Customer data outside the Platform or for purposes unrelated to the services provided.
- Providers agree to notify Kiri immediately in the event of a data breach or unauthorized access to Customer information.
Termination
- Kiri may suspend or terminate a Provider's access to the Platform at its sole discretion, including but not limited to:
- Non-compliance with these Terms or applicable laws;
- Consistent failure to respond to appointment requests 72 hours; and
- Poor performance, unprofessional behavior, or repeated Customer complaints.
- Providers may terminate their subscription or participation by providing written notice to Kiri.
Representations and Warranties
You represent and warrant that You are fully authorized and empowered to accept and honor these Terms, and that the performance of the obligations under these Terms will not violate or infringe upon the rights of any third party, or violate any agreement between You and any other person, firm or entity, or any law or governmental regulation. Specifically, You represent that You are not subject to, or in violation of, any non-compete, or similar provision, with any third party, individual or entity, through Your use of the Kiri Platform. You further represent and warrant that You will only use information and data provided by Kiri Customers as is necessary to effect, administer, or enforce the services requested by the Kiri Customer.
Indemnification
You agree to indemnify, defend, and hold Kiri and its affiliates, and their respective officers, directors, agents, and employees, harmless from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, liabilities (whether actual or contingent), and expenses, including reasonable attorneys' fees and costs, arising out of or relating to Your violation of any non-compete or other restrictive covenant that You may have with any third party, individual or entity, through Your use of the Kiri Platform.
Non-Disclosure and Confidentiality
With respect to Kiri engagements, You agree to keep confidential and to not disclose or make known to the public, the Kiri Customer, or any other person, your relationship with the Kiri Customer. You acknowledge and agree that in the event of your breach (whether actual, implied or threatened) of this provision, that the Kiri Customer's remedies at law will be inadequate. Accordingly, you acknowledge and agree that in such event, Kiri shall have the right to specific performance and/or injunctive relief without being required to show any actual damage to Kiri or to post an injunction bond in addition to any and all other remedies and rights at law or in equity, all of which shall be cumulative.
Referral Service Disclaimer
We are merely a referral service and will retain a referral fee from all transactions conducted through the Kiri Platforms. You understand and agree that Kiri is not a party to any agreements entered into between you and Kiri Customers, and Kiri has no control over the conduct of either Kiri Customers, or you or any information provided in connection thereto, and disclaims all liability in this regard. As a referral service, we are not, and do not hold ourselves out to be, a professional services provider or firm. We make no representations regarding the quality of work you will perform, the discretion exercised by you and any other third-party professionals, or the advice given by you and any other third-party professionals.
Independent Contractor Status
You are a third-party independent contractor, and not an employee of Kiri. Representations made by you are non-binding on Kiri. You are not a Kiri employee or agent, and you have no authority to act on Kiri's behalf or hold yourself out as a Kiri employee or agent. You are free to accept or reject engagements in your sole discretion. Representations made to and engagements performed for Kiri Customers, will be relied upon by the Kiri Customers solely based on your professional opinion.
By joining the Kiri Platform as a Provider, you affirm that you have read, understood, and agree to abide by the terms outlined in this Addendum and the Kiri Terms of Use.
